Terms of website

These terms, together with any documents referred to in them, govern your use of the Microcement.ie website as a guest or registered customer and apply to goods supplied through the website.

Please read them carefully before using the website or placing an order. By continuing to use the website, you accept these terms. If you do not accept them, you must not purchase goods through the website.

02

Information about us

The website is operated by Euro Paint Distributors. Envision M2M Limited is incorporated in Ireland under company number 539913. Its registered office is 2 Harmony Court, Harmony Row, Dublin 2, D02 VY52, Ireland.

03

Territory

Orders are treated as placed and received in Ireland. Orders from outside Ireland are not accepted unless expressly agreed with us in advance.

04

Your status

By ordering goods through the website, you confirm that you are legally able to enter into a binding contract, are resident in and accessing the website from the Republic of Ireland or Northern Ireland, and are at least 18 years old.

05

Orders

Your order is an offer to purchase the selected goods. After placing and paying for an order, you will receive electronic confirmation. A contract is formed when payment for the relevant goods has been completed.

The contract covers only the goods for which payment has been received. We are not obliged to supply any additional goods until they have been paid for.

06

Licence and intellectual property

You may print or download extracts from the website for personal, non-commercial use, provided documents and graphics are not altered, graphics remain with their accompanying text, and all copyright and trade mark notices are retained.

Logos and trade marks may not be downloaded or reused. Website material, including photographs and graphics, belongs to Envision M2M Limited or its licensors. No website content may be reproduced, commercially exploited, stored on another website or included in a retrieval service without prior written permission. All ungranted rights are reserved.

07

Price

Displayed prices include VAT at the applicable rate. Delivery charges and any other applicable costs will be shown as part of the order or checkout information.

Availability, specifications and prices may change without notice. Product descriptions, drawings and specifications are illustrative and are not binding. Price changes do not affect orders already paid for.

If an obvious pricing error is identified, we may contact you before dispatch or reject and refund the affected order. We are not obliged to supply goods at an obvious and unmistakable incorrect price.

08

Payment

Payment may be made using the methods presented at checkout, including supported credit or debit cards and other enabled payment services. A third-party payment provider's own terms may also apply.

We are not responsible for losses caused by a third-party payment service where the loss is outside our reasonable control.

09

Delivery

We normally aim to fulfil orders within 3–5 working days after cleared payment and, in any event, within 30 days unless another timeframe is agreed. Paint samples may arrive separately from other products.

10

Risk and title

Ownership of goods remains with us until all sums owed under the relevant contract, and any other contract with us, have been paid in full. Risk of loss or damage transfers to you upon delivery.

11

Cancellation

Consumer cancellation rights apply in accordance with applicable law. To request cancellation, contact us promptly using the details on this page.

We may cancel a contract on written notice where we have reasonable grounds to suspect a fraudulent transaction. Returned goods must be cared for and sent back in the condition received, subject to your statutory rights. Cancellation does not affect rights or obligations already accrued or provisions intended to continue.

12

Refund policy

Where a cancellation is valid, an eligible refund will be processed after notice of cancellation and receipt of the returned goods. Return delivery costs remain your responsibility unless the goods are faulty or we agree otherwise.

Returns must include proof of purchase and be unused, in their original condition and original packaging. Your statutory rights remain unaffected.

Mixed paints, tinted products and mixed resins are made to specification and cannot normally be returned unless agreed beforehand or we have made a proven tinting error.

13

Liability

Goods purchased through the website are intended to be of satisfactory quality and reasonably fit for their ordinary purpose. For consumers, liability for breach is limited to foreseeable loss. For business customers, liability is limited to the purchase price of the affected goods.

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot legally be excluded.

Subject to applicable law, we are not responsible for unforeseeable or indirect losses, including loss of income, revenue, business, profit, contracts, anticipated savings, data, or management time.

14

Service access

We aim to keep the website available but cannot guarantee uninterrupted access. Access may be suspended for maintenance, repair, system failure or circumstances beyond our control, and website services or products may be changed or withdrawn.

Account credentials must be kept confidential. We may disable credentials if these terms are breached. You are responsible for arranging website access and ensuring anyone using your connection understands these terms.

15

Visitor material and conduct

Material submitted to the website, other than personal information covered by our Privacy Policy, may be treated as non-confidential and non-proprietary where permitted by law.

You must not transmit unlawful, threatening, defamatory, obscene, discriminatory, abusive, confidential, privacy-infringing, unlicensed or technically harmful material. You must not misuse or attempt to compromise the website.

We may cooperate with lawful requests from courts and enforcement authorities. You are responsible for losses reasonably arising from your unlawful use of the website or infringement of another party's rights.

16

Third-party links

The website may link to independent third parties. We do not control or guarantee their goods, services or content. Any statutory rights you have against a third party remain unaffected. Where a third party participates in a transaction, relevant customer information may be shared as necessary.

17

Fraudulent misstatements

We may terminate a contract or seek remedies for breach if we reasonably believe that a fraudulent misstatement was made before or after the contract was entered into.

18

Written communications

You agree that we may communicate electronically, including by email or notices on the website. Electronic contracts, notices and information satisfy written-communication requirements where legally permitted. Your statutory rights are unaffected.

19

Notices

Notices to us should be sent to Envision M2M Limited trading as Euro Paint Distributors using the postal or email details provided. We may contact you at the email or postal address supplied with your order.

An email notice is treated as received 24 hours after sending and a postal notice three days after posting, subject to applicable law. Evidence that a correctly addressed email or stamped letter was sent will be sufficient proof of service.

20

Transfer of rights and obligations

The contract binds both parties and their respective successors and permitted assigns. You may not transfer, assign, charge or otherwise dispose of your contract, rights or obligations without our prior written consent.

21

Force majeure

We are not liable for delay or failure caused by events outside our reasonable control. These may include industrial action, civil disorder, terrorism, war, fire, explosion, severe weather, flood, earthquake, epidemic, transport or telecommunications failure, and government action.

Affected obligations are suspended while such an event continues, with a corresponding extension of time. We will use reasonable efforts to resolve the disruption or find an alternative way to perform our obligations.

22

Third-party rights

A person who is not a party to a contract has no right to enforce it, except where applicable law expressly provides otherwise. This does not remove any independent right or remedy available to that person.

23

Waiver

A failure or delay in enforcing a right does not waive that right or excuse future compliance. A waiver of one default is not a waiver of another. Any waiver must be expressly confirmed in writing.

24

Severability

If a competent authority finds any part of these terms or a contract invalid, unlawful or unenforceable, that part will be removed only to the necessary extent. The remaining provisions will continue in effect.

25

Entire agreement

These terms and any document expressly referred to in them form the entire agreement relating to the contract and replace previous discussions, understandings or arrangements.

Each party acknowledges that it has not relied on a statement not included in the contract, except where a statement was fraudulent. Remedies for non-fraudulent statements are limited to those available for breach of contract.

26

Our right to vary these terms

We may update these terms to reflect changes in our business, technology, payment methods, law, regulation or systems. The terms in force when you order normally apply to that purchase, unless a change must apply retrospectively by law or governmental authority.

27

Miscellaneous

We take reasonable care to keep website information accurate and complete but do not guarantee that it is error-free or that using the website cannot cause technical harm. Verify important information before relying on it.

Subject to the liability provisions above, we do not accept responsibility for inaccuracies, omissions, viruses, third-party websites or external promotions.
